APALY HEALTH INC.

Section 1: Definitions

"Dispensing Pharmacy" means a state-licensed pharmacy that has entered into an agreement with Apaly Health Inc. to fulfill prescriptions for eligible members under the ApalyRx program.

"Covered Medication" means a prescription medication routed to a Dispensing Pharmacy for fulfillment under the ApalyRx program pursuant to your enrollment and your health plan's benefit configuration.

"Prescription" means a lawful order for a Covered Medication issued and signed by a licensed healthcare professional who is legally authorized to prescribe drugs for you within the authorized scope of their professional practice.

"Fulfillment" means the receipt, processing, pharmacist verification, dispensing, labeling, packaging, and shipment of a Covered Medication by a Dispensing Pharmacy to you.

Section 2: Role of the Dispensing Pharmacy

2.1 Independent Licensed Pharmacy. Each Dispensing Pharmacy is an independent, state-licensed pharmacy. Dispensing Pharmacies are not agents, employees, or subsidiaries of Apaly Health Inc. or ApalyRx LLC. Apaly Health does not own, operate, or control any Dispensing Pharmacy.

2.2 Pharmacy of Record. For each prescription routed through the ApalyRx program, the Dispensing Pharmacy to which your prescription is transferred serves as the pharmacy of record for that prescription. The Dispensing Pharmacy retains sole professional responsibility for all pharmacy practice obligations associated with your prescription, including pharmacist verification, drug utilization review, dispensing, labeling, patient counseling, recordkeeping, and all other obligations required by applicable federal and state law.

2.3 No Dispensing by ApalyRx LLC. ApalyRx LLC is a Texas Class G centralized prescription processing pharmacy that routes and transfers prescriptions only. ApalyRx LLC does not dispense medications directly to patients, does not take title to or custody of prescription drug products at any point in the fulfillment process, and does not perform pharmacist verification or any other clinical pharmacy function. All dispensing is performed solely by the Dispensing Pharmacy.

2.4 Apaly Health Administrative Role. Apaly Health Inc. performs program administration, eligibility verification, prescription routing, cost share collection, and related administrative functions on behalf of your employer health plan. Apaly Health does not perform clinical services, does not adjudicate benefits, and does not make coverage or medical necessity determinations.

Section 3: Prescription Routing and Transfer

3.1 How Your Prescription is Routed. When your prescribing provider transmits a prescription for a Covered Medication electronically, ApalyRx LLC receives the prescription via NCPDP SCRIPT or other standard electronic transmission format and transfers it to the designated Dispensing Pharmacy for the applicable program. This routing occurs automatically based on your enrollment authorization and your health plan's benefit configuration.

3.2 Your Consent to Routing. By enrolling in the ApalyRx program and accepting the Terms of Use, you have authorized ApalyRx LLC to receive and transfer your prescriptions to the designated Dispensing Pharmacy as described in the Patient Consent and Acknowledgment at apalyrx.com/legal. You do not need to provide separate consent for each individual prescription routing.

3.3 Prescription Validity. The Dispensing Pharmacy will verify the validity of your prescription before dispensing. The Dispensing Pharmacy may contact your prescribing provider to resolve any issues with the prescription. If a prescription cannot be validated or dispensed, the Dispensing Pharmacy or Apaly Health will notify you via SMS or through your account.

3.4 Prescription Transfer to Another Pharmacy. You retain the right to request transfer of your prescription to a pharmacy of your choice at any time before dispensing. To request a transfer, contact Apaly Health at privacy@apalyrx.com or through your account at apalyrx.net. If you request a transfer after your prescription has already been processed for dispensing, the Dispensing Pharmacy will make reasonable efforts to accommodate your request consistent with applicable law and its professional obligations. Program pricing may not be available at your chosen pharmacy.

3.5 No Automatic Refills. Automatic refills are not permitted under the ApalyRx program. Each dispense requires a new patient request. You will be notified via SMS or through your account when a new request is needed for your next prescription cycle.

3.6 Controlled Substances. Controlled substances (Schedules II through V under the federal Controlled Substances Act) are outside the scope of the ApalyRx program. If a prescription for a Controlled Substance is inadvertently received by ApalyRx LLC, it will be transferred to a pharmacy of your choice and will not be processed through the program.

Section 4: Dispensing and Fulfillment

4.1 Pharmacist Verification. Before your prescription is dispensed, a licensed pharmacist employed by or contracted with the Dispensing Pharmacy will review and verify your prescription, perform a drug utilization review, and make all dispensing decisions consistent with applicable professional and legal obligations. These clinical and professional functions are performed solely by the Dispensing Pharmacy and are not performed by Apaly Health or ApalyRx LLC.

4.2 Direct Shipment. Covered Medications dispensed under the ApalyRx program are shipped directly to your home address or another address you designate. You are responsible for ensuring that your delivery address is accurate and that someone is available to receive temperature-sensitive shipments where required. Apaly Health will communicate any special handling or receipt requirements to you via SMS before shipment.

4.3 Shipping and Delivery. Shipping costs, if any, are communicated to you before each dispense via SMS. Shipping times will vary based on the Dispensing Pharmacy's fulfillment processes and your location. The Dispensing Pharmacy is responsible for proper packaging and handling of your medications during shipment. If your shipment is lost, damaged, or delayed, contact Apaly Health at privacy@apalyrx.com and we will coordinate with the Dispensing Pharmacy on your behalf.

4.4 Time to Fill. The Dispensing Pharmacy will make reasonable efforts to process and ship your prescription promptly after receipt of all required information. Processing times may vary based on prescription volume, verification requirements, and fulfillment logistics. You will be notified via SMS of your prescription status throughout the fulfillment process.

4.5 Dispense as Written. The Dispensing Pharmacy will dispense your medication as written by your prescribing provider. Any substitution or change to your prescription must be authorized by your prescribing provider in accordance with applicable law and professional standards.

4.6 Injection Supplies. Where applicable and included under the program, injection supplies may be included with your dispensed medication. The availability of injection supplies depends on the applicable Program Supplier program and your health plan's benefit configuration.

Section 5: Cost Share and Payment

5.1 Cost Share Collection by Apaly Health. Your applicable cost share amount, if any, is collected by Apaly Health through the platform's payment processor before or at the time your prescription is dispensed. The Dispensing Pharmacy will not collect cost share directly from you. If you have not provided payment authorization through the platform, the Dispensing Pharmacy may hold your prescription pending receipt of payment confirmation from Apaly Health.

5.2 Cost Share Disclosure. Your applicable cost share will be disclosed to you via SMS before your prescription is dispensed. You will have an opportunity to confirm or decline the transaction. If you decline, your prescription will not be dispensed under the program and may be transferred to standard channels upon your request.

5.3 No Markup of Dispensing Fees. Apaly Health will not markup or increase any dispensing fees charged by the Dispensing Pharmacy in amounts billed to you for cost share.

5.4 Taxes. Applicable taxes, if any, will be included in amounts collected from you consistent with applicable law and your health plan's benefit design.

Section 6: Your Rights and Responsibilities

6.1 Right to Choose Your Pharmacy. You have the right to have your prescription filled at a pharmacy of your choice at any time. Exercising this right means that program pricing may not be available for that prescription, and standard plan benefit pricing will apply.

6.2 Right to Pharmacist Counseling. You have the right to receive pharmacist counseling from the Dispensing Pharmacy regarding your medication. The Dispensing Pharmacy may offer counseling by telephone, secure electronic communication, or other means consistent with applicable law and your preference. Contact the Dispensing Pharmacy directly if you have clinical questions about your medication.

6.3 Right to Your Prescription Records. You have the right to request a copy of your prescription records from the Dispensing Pharmacy consistent with applicable law. Contact the Dispensing Pharmacy directly for records requests. You may also access your prescription history through your account at apalyrx.net to the extent that information is available through the platform.

6.4 Accurate Information. You are responsible for ensuring that your contact information, delivery address, and health plan information are accurate and current in your account at apalyrx.net. Inaccurate information may delay or prevent fulfillment of your prescription.

6.5 Receipt of Medications. You are responsible for ensuring that you or an authorized person is available to receive your shipment, particularly for medications requiring special handling such as refrigeration. Apaly Health and the Dispensing Pharmacy are not responsible for medications that are damaged due to your failure to retrieve a delivered shipment promptly.

6.6 Reporting Problems. If you experience any problem with your medication, including suspected adverse reactions, incorrect medication, or dispensing errors, contact the Dispensing Pharmacy immediately and notify your prescribing provider. You may also report the issue to Apaly Health at privacy@apalyrx.com. Apaly Health will coordinate with the Dispensing Pharmacy on your behalf as needed.

Section 7: DSCSA and Drug Supply Chain Compliance

7.1 Drug Supply Chain Security. The transfer and dispensing of prescription drug products under the ApalyRx program is conducted in compliance with the Drug Supply Chain Security Act (DSCSA), 21 U.S.C. Section 360eee et seq. Title to prescription drug products transfers from the applicable Program Supplier to the Dispensing Pharmacy at the time of dispense. ApalyRx LLC facilitates custody and processing as a licensed Class G pharmacy and does not take title to prescription drug products at any point.

7.2 Product Authenticity. The Dispensing Pharmacy is responsible for ensuring that all medications dispensed under the ApalyRx program are authentic, properly serialized, and compliant with DSCSA track and trace requirements. Apaly Health coordinates the transfer of serialized product information between Program Suppliers, ApalyRx LLC, and Dispensing Pharmacies as part of program operations.

7.3 Serialization. Each unit of Covered Medication dispensed under the program is associated with a serialized National Drug Code (NDC) and transaction history consistent with DSCSA requirements. This information is maintained by the applicable parties in the supply chain and is available to regulatory authorities upon request.

Section 8: Government Program and Eligibility Compliance

8.1 Eligibility Verification. Apaly Health is responsible for verifying your eligibility for the ApalyRx program before routing your prescription to a Dispensing Pharmacy. The Dispensing Pharmacy may rely on Apaly Health's confirmation of your eligibility. You are responsible for the accuracy of the eligibility representations you have made in your enrollment documents, including your representation that you are not a Government Program beneficiary.

8.2 Government Program Exclusion. The Dispensing Pharmacy will not bill any Government Program for Covered Medications dispensed under the ApalyRx program. Cost share amounts collected under the program are commercial payments and are not submitted to any Government Program. You have acknowledged and agreed to these restrictions in the Patient Consent and Acknowledgment at apalyrx.com/legal.

8.3 Compliance with Applicable Law. The Dispensing Pharmacy is responsible for compliance with all applicable federal and state laws governing pharmacy practice, prescription drug dispensing, and patient rights in the states where it is licensed to dispense. Apaly Health is responsible for compliance with applicable program administration laws and regulations.

Section 9: Limitations of Liability

9.1 Dispensing Pharmacy Responsibility. Each Dispensing Pharmacy is solely responsible for its own clinical, professional, and legal obligations associated with dispensing your prescription. Apaly Health and ApalyRx LLC are not responsible for the clinical decisions, dispensing accuracy, labeling, counseling, or fulfillment performance of any Dispensing Pharmacy.

9.2 Apaly Health Administrative Responsibility. Apaly Health is responsible for its administrative functions under the ApalyRx program, including eligibility verification, prescription routing, cost share collection, and program coordination. Apaly Health is not responsible for clinical outcomes, medication efficacy, adverse drug reactions, or any other clinical matter associated with your use of dispensed medications.

9.3 No Endorsement. These General Dispensing Pharmacy Terms do not constitute an endorsement by Apaly Health of any Dispensing Pharmacy or its services. Apaly Health does not guarantee the quality, safety, or performance of any Dispensing Pharmacy.

Section 10: Changes and Updates

10.1 Changes to These Terms. Apaly Health may update these General Dispensing Pharmacy Terms from time to time by updating the document at apalyrx.com/legal. Your continued use of the ApalyRx program following any update constitutes your acceptance of the updated terms.

10.2 Changes to Dispensing Pharmacy Partners. Apaly Health may add, change, or remove Dispensing Pharmacy partners at any time. If a change affects your active prescriptions, Apaly Health will notify you via SMS or through your account and will work with you to transfer your prescriptions to a new designated pharmacy or to standard channels.

10.3 Partners with Specific Terms. If a Dispensing Pharmacy partner publishes its own specific member-facing terms at apalyrx.com/legal, those terms will govern for matters specific to that partner's program. These General Terms will continue to apply to all matters not addressed by the partner's specific terms.

Section 11: Member Acknowledgments

By accepting the Apaly Health Inc. Terms of Use and these General Dispensing Pharmacy Terms, you confirm the following:

• You understand that Dispensing Pharmacies are independent, state-licensed entities that are not owned, operated, or controlled by Apaly Health Inc. or ApalyRx LLC
• You understand that ApalyRx LLC routes and transfers prescriptions only and does not dispense medications directly to patients
• You understand that the Dispensing Pharmacy is solely responsible for all clinical and professional obligations associated with dispensing your prescription
• You understand that your cost share is collected by Apaly Health and that the Dispensing Pharmacy will not collect cost share directly from you
• You understand that you have the right to have your prescription transferred to a pharmacy of your choice at any time
• You understand that automatic refills are not permitted and that each dispense requires a new patient request
• You understand that controlled substances are outside the scope of the ApalyRx program
• You are responsible for ensuring your contact and delivery information is accurate and current
• You understand that Apaly Health is not responsible for the clinical or professional performance of any Dispensing Pharmacy
