APALY HEALTH INC.

1. Definitions

"Program Supplier" means any manufacturer, pharmacy, distributor, or other entity that supplies products or provides pricing to eligible members through the ApalyRx program. Program Suppliers whose specific terms apply to your prescriptions are listed in the Manufacturer Terms section of the ApalyRx Legal Center at apalyrx.com/legal.

"Program Supplier Program" means a specific pricing, access, or patient support program offered by a Program Supplier through the ApalyRx platform under the terms of that Program Supplier's agreement with Apaly Health Inc.

"Covered Medication" means a prescription medication covered under a Program Supplier Program that is accessible to you through the ApalyRx program under your health plan's benefit configuration.

"Program Pricing" means the pricing for a Covered Medication available to you through a Program Supplier Program, which may be lower than standard plan benefit pricing and is available only through designated Dispensing Pharmacies and fulfillment channels.

"Government Program" has the meaning given in the Patient Consent and Acknowledgment at apalyrx.com/legal.

2. Nature of Program Supplier Programs

2.1 Voluntary Participation. Participation in any Program Supplier Program is voluntary. You may obtain your Covered Medications through standard pharmacy channels at any time. Program Pricing is available only through the designated Dispensing Pharmacy and fulfillment channel for the applicable Program Supplier Program. Choosing not to participate in a Program Supplier Program does not affect your right to obtain your medications through other means.

2.2 Apaly Health Role. Apaly Health Inc. acts as a program administrator and administrative services provider in connection with Program Supplier Programs. Apaly Health does not manufacture, distribute, or dispense medications and is not responsible for the clinical, safety, or efficacy characteristics of any Covered Medication. All clinical decisions remain solely with your prescribing provider.

2.3 Program Supplier Independence. Program Suppliers are independent entities. Apaly Health does not control Program Supplier pricing, product availability, program terms, or patient support services. Program Suppliers may modify or terminate their programs at any time. If a Program Supplier modifies or terminates a program affecting your coverage, Apaly Health will notify you and your prescriptions will be transferred to available program channels or standard benefit channels.

2.4 No Clinical Influence. Apaly Health and ApalyRx LLC do not and will not direct, encourage, or provide financial inducements to any healthcare provider to prescribe any specific Covered Medication or to route prescriptions through any specific Program Supplier Program. All prescribing decisions are made solely by your provider based on your clinical needs.

3. Eligibility Requirements

3.1 Health Plan Enrollment. To access Program Pricing through a Program Supplier Program, you must be a member of an employer-sponsored health plan that has contracted with Apaly Health Inc. to provide access to the applicable Program Supplier Program. Not all Program Supplier Programs are available under all health plans. The programs available to you depend on your health plan's benefit configuration.

3.2 Government Program Exclusion. You are not eligible to participate in any Program Supplier Program if you are a beneficiary of any Government Program. This requirement is set forth in the Patient Consent and Acknowledgment at apalyrx.com/legal and applies to all Program Supplier Programs without exception. By accessing any Program Supplier Program through the ApalyRx platform, you reaffirm your representation that you are not a Government Program beneficiary.

3.3 Own Use Requirement. Covered Medications obtained through any Program Supplier Program are for your own lawful personal use only. You may not sell, transfer, share, or distribute Program Supplier Program medications to any other person for any purpose. This requirement is a condition of participation in any Program Supplier Program and a material term of your enrollment in the ApalyRx program.

3.4 United States Residents Only. Program Supplier Programs are available only to members residing in the fifty states of the United States, the District of Columbia, Puerto Rico, and applicable United States territories where the applicable Dispensing Pharmacy is licensed to fulfill prescriptions.

3.5 Program Supplier Specific Eligibility. Individual Program Suppliers may impose additional eligibility requirements beyond those set forth in these General Terms. Those requirements are set forth in the applicable Program Supplier's specific terms at apalyrx.com/legal. You are responsible for reviewing and meeting all applicable eligibility requirements before accessing a specific Program Supplier Program.

4. Exclusivity and No Stacking of Programs

4.1 No Combining with Additional Supplier Programs. Covered Medications obtained through a Program Supplier Program at Program Pricing cannot be combined with any additional assistance, discount, or support programs offered by the same Program Supplier for the same medication during the same period. This prohibition applies regardless of whether such additional programs are offered directly by the Program Supplier, through a third party, or through another channel.

4.2 Scope of Prohibition. Programs that cannot be combined with Program Pricing for the same Covered Medication include, without limitation, copayment assistance programs, buy-down programs, eVoucher programs, patient assistance programs, cash discount programs, and any other financial assistance or discount program offered by the applicable Program Supplier. The specific exclusions applicable to each Program Supplier's program are set forth in that Program Supplier's specific terms at apalyrx.com/legal.

4.3 No Effect on Other Medications. The exclusivity rules in this Section 4 apply only to the specific Covered Medications for which you are receiving Program Pricing. They do not affect your eligibility for any Program Supplier assistance programs for other medications that are not Covered Medications under the ApalyRx program.

4.4 No Government Program Billing. You may not submit, and may not permit any other person to submit, any claim for a Covered Medication dispensed under a Program Supplier Program to any Government Program. Cost share amounts collected under Program Supplier Programs are commercial payments that do not count toward any Government Program deductible or out-of-pocket maximum. This prohibition is further described in the Patient Consent and Acknowledgment at apalyrx.com/legal.

5. Data Sharing with Program Suppliers

5.1 Data Required for Program Participation. Participation in Program Supplier Programs requires the sharing of your health information with the applicable Program Supplier and its authorized agents as described in your HIPAA Authorization at apalyrx.com/legal. Program Suppliers use this information to administer their programs, verify eligibility, facilitate patient support services, and satisfy compliance and reporting obligations under their agreements with Apaly Health.

5.2 Purpose of Data Sharing. Data shared with Program Suppliers in connection with your participation may be used for the following purposes:

• Verification of your eligibility for the applicable Program Supplier Program
• Administration of patient support services, including copayment assistance programs, nurse educator services, adherence programs, reimbursement assistance, and drug coverage verification
• Compliance monitoring and audit activities required under Program Supplier agreements
• Utilization reporting and data validation required to administer program pricing
• Any other purpose described in the applicable Program Supplier's specific terms at apalyrx.com/legal

5.3 Program Supplier Specific Terms Govern Data Use. The specific data uses, disclosures, and requirements applicable to each Program Supplier's program are set forth in that Program Supplier's specific terms at apalyrx.com/legal. In the event of any conflict between this Section 5 and a Program Supplier's specific data terms, the Program Supplier's specific terms govern for that Program Supplier's program.

5.4 Remuneration. Program Suppliers may receive data and reporting information from Apaly Health in connection with program administration. Program Suppliers may provide program pricing and patient support services in part in exchange for such data. This data exchange is described in the remuneration notice in your HIPAA Authorization at apalyrx.com/legal.

6. Dispensing Pharmacy Requirements

6.1 Designated Dispensing Pharmacies. Program Pricing under each Program Supplier Program is available only when your prescription is dispensed by the designated Dispensing Pharmacy for that program. The designated Dispensing Pharmacy for each Program Supplier Program may vary. Information about which Dispensing Pharmacy fulfills prescriptions under a specific Program Supplier Program is available through your account at apalyrx.net and through the applicable Program Supplier's specific terms at apalyrx.com/legal.

6.2 Pharmacy of Choice. You retain the right to request transfer of your prescription to a pharmacy of your choice at any time. If you exercise this right, Program Pricing may not be available for that prescription and standard plan benefit pricing will apply. To request a transfer, contact Apaly Health at privacy@apalyrx.com or through your account at apalyrx.net.

6.3 Dispensing Pharmacy Independence. Dispensing Pharmacies are independent, state-licensed entities. Apaly Health does not guarantee the clinical quality, dispensing accuracy, or fulfillment performance of any Dispensing Pharmacy. Each Dispensing Pharmacy is solely responsible for its dispensing activities and the professional obligations associated with dispensing your medications.

7. Manufacturer Specific Terms

In addition to these General Program Supplier Participation Terms, your participation in a specific Program Supplier's program is subject to that Program Supplier's own applicable terms. Those terms are available in the Manufacturer Terms section of the ApalyRx Legal Center at apalyrx.com/legal. You are responsible for reviewing the applicable terms for each Program Supplier whose program you access through the ApalyRx platform.

Program Supplier specific terms may include additional eligibility requirements, additional exclusivity rules, specific data sharing requirements, requirements regarding how your prescriptions must be submitted and processed, requirements applicable to your health plan's benefit design, and any other requirements imposed by the applicable Program Supplier as a condition of accessing that Program Supplier's program pricing or patient support services.

If a Program Supplier's specific terms conflict with these General Terms on a matter specific to that Program Supplier's program, the Program Supplier's specific terms govern for that program.

8. Changes and Updates

8.1 Changes to These General Terms. Apaly Health may update these General Terms from time to time by updating the document at apalyrx.com/legal. Your continued use of the ApalyRx program following any update constitutes your acceptance of the updated terms.

8.2 Changes to Program Supplier Specific Terms. Program Supplier specific terms may be updated as Program Suppliers modify their program requirements. Updated Program Supplier specific terms will be posted at apalyrx.com/legal. Your continued use of a specific Program Supplier's program following any update to that Program Supplier's terms constitutes your acceptance of the updated terms.

8.3 New Program Suppliers. As Apaly Health enters into agreements with additional Program Suppliers, the applicable Program Supplier specific terms will be posted in the Manufacturer Terms section of the ApalyRx Legal Center at apalyrx.com/legal. Your use of a new Program Supplier's program constitutes your acceptance of that Program Supplier's specific terms.

9. Member Acknowledgments

By accepting the Apaly Health Inc. Terms of Use and these General Program Supplier Participation Terms, you confirm the following:

• You have read and understand these General Terms and understand that additional Program Supplier specific terms apply to each Program Supplier's program
• You understand that participation in any Program Supplier Program is voluntary and that you may obtain your medications through standard pharmacy channels at any time
• You understand that Program Pricing is available only through designated Dispensing Pharmacies under the applicable Program Supplier Program
• You represent that you are not a beneficiary of any Government Program and understand that Government Program beneficiaries are not eligible for Program Supplier Programs
• You understand that Covered Medications obtained through Program Supplier Programs are for your own personal use only
• You understand that Program Pricing cannot be combined with additional Program Supplier assistance programs for the same medication
• You understand that Program Suppliers may receive your health information for program administration purposes as described in your HIPAA Authorization
• You understand that Program Suppliers may modify or terminate their programs at any time
• You are responsible for reviewing the specific terms of each Program Supplier whose program you access through the ApalyRx platform
