ADDENDUM A: MEMBERS

A1. APPLICATION

This Addendum applies to you if you are an individual who is enrolled in, or eligible to enroll in, the ApalyRx prescription program through a group health plan (a "Member"). It supplements the ApalyRx Terms of Use (the "Terms"). Capitalized terms not defined here have the meanings given in the Terms.

A2. ELIGIBILITY AND ENROLLMENT

Your eligibility for the ApalyRx program is determined by your health plan, not by Apaly Health. Enrollment in the program is voluntary. Apaly Health may confirm your eligibility using information provided by your plan or its administrator.

Your eligibility may change or end when your plan coverage changes or ends. Apaly Health may suspend or close your Platform access when you are no longer eligible.

A3. YOUR ACCOUNT

You will provide accurate information when you create your account and keep it current, including your name, date of birth, contact information, and shipping address. Prescription fulfillment depends on this information being correct.

Your account is for your use only. Do not share your credentials.

A4. AUTHORIZED REPRESENTATIVES AND DEPENDENTS

If you are accepting on behalf of a dependent, a minor, or another individual you are authorized to represent, you represent that you have the legal authority to do so, and you are responsible for that individual's use of the Platform. Apaly Health may require documentation of that authority.

A5. WHAT THE PLATFORM DOES

The Platform allows you to enroll in the program, review prescriptions eligible for the program, see fulfillment options and the cost associated with each, track order status, and communicate with support.

The Platform does not prescribe, dispense, or provide medical or pharmacy advice. Your prescriber makes clinical decisions. A licensed dispensing pharmacy fills your prescription.

A6. PRESCRIPTION ROUTING

Where you enroll a prescription in the program, the Platform assesses available fulfillment options and identifies the option that costs the plan the least. Apaly Health does not select your prescriber and does not direct your treatment.

You may decline to use the program for any prescription and obtain it through your plan's standard pharmacy benefit or otherwise, except where your plan has excluded a product from the pharmacy benefit. Your plan documents govern what your plan covers.

A7. PROGRAM EXCLUSIVITY

Where a prescription is sourced and fulfilled through the ApalyRx program, you agree that, for that prescription and for the fill in question, you will not:

1. Submit the same prescription or fill to your plan's pharmacy benefit or to any other payer for payment or reimbursement
2. Use a manufacturer copay card, coupon, discount card, patient assistance program, or similar offering in connection with that fill
3. Obtain the same fill through another channel while it is being fulfilled through the program
4. Seek reimbursement from any source for amounts the program has already covered

These obligations apply only to prescriptions you have enrolled in the program. They do not restrict your right to obtain other prescriptions through any channel you choose.

A8. GOVERNMENT PROGRAM ACKNOWLEDGMENT

You represent that you are not enrolled in Medicare, Medicaid, TRICARE, the Veterans Health Administration program, or any other federal or state healthcare program in connection with the prescriptions you enroll in the ApalyRx program, except where the program expressly permits it.

You will notify Apaly Health promptly if your enrollment in any such program changes. Certain program benefits may be unavailable to individuals enrolled in a federal or state healthcare program.

A9. ACCURACY OF INFORMATION

You will provide accurate and complete information about yourself, your coverage, your prescriptions, and your other prescription benefits, and you will keep that information current. Apaly Health may rely on the information you provide.

A10. COMMUNICATIONS

Apaly Health may send you communications about your account, your enrollment, your prescriptions, and the program, including transactional notices by email and through the Platform.

Automated calls and text messages require your separate express consent. That consent is presented as its own document, requires its own affirmative acceptance, and is not part of the Terms or this Addendum. You may withdraw it at any time as described in that document without affecting your Platform access.

A11. HEALTH INFORMATION

Apaly Health's handling of your health information is described in the ApalyRx Privacy Policy.

Certain uses and disclosures of your health information require a separate HIPAA authorization. That authorization is presented as its own document, requires its own affirmative acceptance, and is not part of the Terms or this Addendum. You may revoke it as described in that document.

A12. DISPENSING PHARMACIES

Your prescription is dispensed by a licensed pharmacy, not by Apaly Health. Your relationship with that pharmacy, including counseling, dispensing, and delivery, is between you and that pharmacy and is governed by the pharmacy's own terms and by applicable pharmacy law.

Apaly Health is not responsible for the acts or omissions of any dispensing pharmacy.

A13. SUPPLIER PROGRAMS

Some prescriptions may be available through programs offered by manufacturers or other suppliers. Those programs may carry their own eligibility rules, conditions, and terms, which are set by the supplier and are available from that supplier. Your participation in a supplier program is between you and that supplier.

A14. NO CHARGE FOR PLATFORM ACCESS

Apaly Health does not charge you a fee for access to or use of the Platform. What you pay, if anything, for a prescription is determined by your health plan and the program in which you are enrolled, and is described to you before you complete an order.

A15. TERMINATION

You may stop using the Platform and close your account at any time. Closing your account may end your participation in the program.

Apaly Health may suspend or close your account as described in the Terms, or when your plan eligibility ends.
