ADDENDUM B: EMPLOYERS AND PLANS

B1. APPLICATION

This Addendum applies to you if you are an employer, plan sponsor, or group health plan participating in the ApalyRx program, or an individual accessing the Platform on behalf of one (collectively, "Plan"). It supplements the ApalyRx Terms of Use (the "Terms"). Capitalized terms not defined here have the meanings given in the Terms.

Your commercial participation in the ApalyRx program is governed by your Signed Agreement with Apaly Health. This Addendum governs Platform use only, and your Signed Agreement controls over the Terms and this Addendum as to any subject it addresses.

B2. AUTHORIZED USERS AND ADMINISTRATORS

You will designate the individuals authorized to access the Platform on your behalf and the level of access each requires. You are responsible for their activity and will promptly notify Apaly Health when an individual's access should be removed.

You may designate a third party administrator, carrier, broker, consultant, or other service provider to access the Platform on your behalf. Those organizations access the Platform as Partners under Addendum D and must accept the Terms in that capacity.

B3. DATA YOU PROVIDE

You, or a party acting for you, may submit eligibility files, enrollment data, claims data, plan design information, and other data to the Platform.

You represent that you have the authority and all necessary rights, permissions, and authorizations to submit that data to Apaly Health and to permit Apaly Health to use it as contemplated by the Terms, this Addendum, and any applicable business associate agreement.

You are responsible for the accuracy, completeness, and timeliness of the data you submit. Apaly Health may rely on it.

B4. PROTECTED HEALTH INFORMATION

Where the data you submit includes protected health information, the business associate agreement between Apaly Health and the Plan governs its use and disclosure and controls over the Terms and this Addendum as to that information.

The business associate agreement is available at the ApalyRx Legal Center and, where executed separately, in the form executed by the parties.

B5. PLATFORM DATA AVAILABLE TO YOU

Apaly Health makes Platform Data available to you as described in your Signed Agreement and as provided through the Platform, which may include reporting, assessment and routing records, utilization and cost analytics, and documentation supporting plan administration.

B6. PERMITTED USE OF PLATFORM DATA

You may use Platform Data for the administration, oversight, and evaluation of your health plan, including for compliance and reporting purposes. You will not use Platform Data to develop a competing product or service, or disclose it to any person other than your Authorized Users, your service providers acting for you and bound by comparable obligations, and your professional advisors.

B7. NO FIDUCIARY OR DISCRETIONARY ROLE

Apaly Health provides technology and information. Apaly Health does not exercise discretionary authority or control over the management or administration of your plan or its assets, does not determine eligibility for benefits, does not adjudicate claims for benefits, and does not act as a plan fiduciary or plan administrator under the Employee Retirement Income Security Act or any similar law.

You retain sole responsibility for plan design, plan documents, benefit determinations, and all fiduciary functions.

B8. PLAN DOCUMENTS AND MEMBER COMMUNICATIONS

You are responsible for ensuring that your plan documents, summary plan description, and member communications accurately describe the program and are consistent with your Signed Agreement.

Where Apaly Health provides template or suggested language, you are responsible for reviewing it and determining whether it is appropriate for your plan.

B9. MEMBER ACCESS

Members access the Platform under their own accounts and accept the Terms and Addendum A directly. You will not access a Member's account or credentials, and you will not request a Member's credentials.

Information about Members is made available to you only in the form and at the level of detail permitted by the applicable business associate agreement and applicable law.

B10. CONFIDENTIALITY

Section 9 of the Terms applies to implementation guides, billing and submission methodology, integration specifications, and other Platform Confidential Information you receive. Those obligations apply in addition to any confidentiality obligations in your Signed Agreement, which address different subject matter.

B11. TERMINATION

Termination of your Platform access does not terminate your Signed Agreement, and termination of your Signed Agreement does not by itself terminate a Member's Platform access, which is governed by Addendum A and by your plan's eligibility rules.
